1. Introduction
These Terms of Service govern access to and use of HomeAideas Canvas, the web-based concept visualization and AI rendering product offered under the HomeAideas brand. HomeAideas is provided by WhatanAidea Solutions FZ LLC, a UAE free zone limited liability company with its registered address at VUET2932 Compass building, Al Hulaila Industrial Zone-FZ, Al Hulaila, Ras Al Khaimah, UAE.
By signing an order form, accepting an invoice, creating an account, accessing a workspace, or using HomeAideas, you agree to these Terms on behalf of the business, architecture firm, interior design studio, real estate company, property marketplace, firm, company, sole proprietorship, or other organization you represent. If you do not have authority to bind that business, you must not use HomeAideas.
These Terms are designed for business-to-business use only. HomeAideas is not offered for personal, household, or consumer use.
2. Definitions
"HomeAideas", "we", "us", or "our" means WhatanAidea Solutions FZ LLC and the HomeAideas product and services we provide.
"Customer", "you", or "your" means the business entity, architecture firm, interior design studio, real estate company, property marketplace, firm, sole proprietorship, or organization that subscribes to or uses HomeAideas, including its authorized users.
"Order Form" means any signed order form, invoice, online order, statement of work, or other written agreement that identifies the subscription, fees, seats, term, usage limits, or commercial terms for HomeAideas.
"Customer Content" means images, CAD files, sketches, floor plans, project files, materials, assets, workflow selections, instructions, brand references, and other content submitted to HomeAideas by or for Customer.
"Output" means images, renders, concepts, variations, previews, and other results generated through HomeAideas from Customer Content or workflow requests.
"Workspace" means the account, project space, organization environment, or team area made available to Customer in HomeAideas.
3. Business Eligibility and Authority
HomeAideas may be used only by business users acting for a commercial or professional purpose. You represent that you are not using HomeAideas as a consumer and that all users you invite are authorized to use HomeAideas for your business.
If you use HomeAideas on behalf of a company, firm, studio, real estate company, property marketplace, client, or other organization, you represent that you have authority to accept these Terms for that organization. That organization is responsible for compliance with these Terms by its users, employees, contractors, consultants, and administrators.
You must ensure that all account information, billing information, and user details provided to us are accurate and kept up to date.
4. Accounts, Workspaces, Admins, and Named Seats
Access to HomeAideas is provided through named user seats unless the applicable Order Form states otherwise. Each individual user must have their own login credentials. Shared accounts, shared passwords, credential pooling, and unauthorized account transfers are prohibited.
Customer is responsible for selecting and managing workspace administrators, assigning seats, removing users who no longer need access, and maintaining appropriate internal permissions.
Customer is responsible for all activity under its accounts and workspaces, including activity by employees, contractors, consultants, and any person who gains access through Customer credentials. You must promptly notify us at support@homeaideas.com if you suspect unauthorized access or a security issue.
5. Orders, Subscriptions, Billing, Taxes, and Non-Payment
The applicable Order Form controls the subscription plan, subscription term, renewal terms, number of seats, usage limits, fees, billing currency, billing schedule, and payment terms. If there is a conflict between these Terms and an Order Form, the Order Form controls for that specific order.
HomeAideas may invoice or accept payment in USD, GBP, EUR, AED, or another currency agreed in writing. Customer is responsible for all fees, taxes, duties, bank charges, withholding amounts, currency conversion costs, and similar charges arising from the order, except taxes based on our net income.
Unless an Order Form says otherwise, all fees are due according to the payment schedule in the invoice or Order Form. Late payments may result in suspension of access, withholding of new seats or usage, interest or late fees where lawful, and recovery of collection costs.
Subscriptions may renew only as stated in the applicable Order Form, invoice, or written agreement. Any pricing changes, seat changes, or usage-limit changes will apply as described in the applicable Order Form or renewal documentation.
6. Refunds and Service Credits
Except where required by applicable law or expressly stated in an Order Form, all paid fees are non-refundable and non-cancellable.
If a verified platform failure prevents Customer from using paid functionality, HomeAideas may, at its discretion, provide replacement credits, additional generation capacity, service credits, or another reasonable remedy. Service credits are not cash refunds and are Customer's sole remedy for ordinary service interruptions unless an Order Form states otherwise.
Failed generations, unsatisfactory subjective results, or outputs requiring professional revision do not automatically entitle Customer to a refund, because HomeAideas is an AI-assisted concept tool and outputs depend on the Customer Content, instructions, and technical conditions provided.
7. Acceptable Use
Customer must use HomeAideas only in compliance with applicable law, these Terms, and the applicable Order Form. Customer must not use HomeAideas to upload or generate unlawful, infringing, deceptive, harmful, abusive, obscene, discriminatory, or otherwise improper content.
Customer must not reverse engineer, scrape, crawl, benchmark for competitive purposes, overload, interfere with, bypass limitations of, or attempt unauthorized access to HomeAideas or its systems.
Customer must not upload content unless it has the rights, permissions, consents, and authority needed to use that content with HomeAideas, including rights in photographs, plans, sketches, client materials, third-party designs, brands, products, and personal data.
Customer must not use HomeAideas outputs to mislead clients, regulators, purchasers, or the public about what has been built, approved, measured, engineered, or professionally verified.
8. Customer Content, Outputs, and Commercial Use
As between Customer and HomeAideas, Customer retains ownership of Customer Content. Customer grants HomeAideas a non-exclusive, worldwide, royalty-free license to host, process, transmit, display, reproduce, modify, and use Customer Content as needed to provide, secure, support, troubleshoot, maintain, and improve HomeAideas and to comply with law.
Subject to Customer's compliance with these Terms and payment of applicable fees, Customer may use Outputs commercially for business purposes, including client presentations, pitches, internal design workflows, marketing materials, concept exploration, and project communication.
HomeAideas does not represent that any Output is unique, copyrightable, registrable, non-infringing, or free from similarity to content generated for other users. Similar inputs, workflows, styles, or reference materials may produce similar or identical Outputs for different customers.
Customer is responsible for reviewing Outputs before use and for ensuring that Outputs, Customer Content, and downstream uses do not infringe third-party rights, violate confidentiality obligations, breach client agreements, or misrepresent professional conclusions.
9. AI-Specific Limitations and Professional Responsibility
HomeAideas is a conceptual visualization and workflow acceleration tool. Outputs are not architectural drawings, engineering documents, construction documents, code-compliance reports, safety reviews, material specifications, procurement instructions, or professional advice.
Customer remains solely responsible for measurements, dimensions, load-bearing elements, structural safety, material suitability, local laws, building codes, planning rules, permits, accessibility rules, fire safety, contractor instructions, client commitments, and all professional review required for a project.
Customer must not rely on HomeAideas as the sole basis for construction, renovation, procurement, installation, compliance, valuation, safety, or legal decisions. All Outputs must be independently reviewed by appropriately qualified professionals before any real-world use that could affect safety, cost, compliance, property, or contractual obligations.
10. Privacy, Security, Confidentiality, and Data Deletion
Our collection and use of personal data is described in our Privacy Policy and in any applicable data processing terms agreed in writing. The Privacy Policy explains our processing roles, data categories, retention and deletion practices, data residency posture, and international transfer approach.
Each party may receive non-public business, technical, product, pricing, security, or project information from the other party. The receiving party must use such confidential information only to perform or receive HomeAideas services and must protect it using reasonable care.
HomeAideas does not use Customer Content to train AI models by default unless separately agreed in writing. More information about AI workflow behavior, AI provider posture, output limitations, and reporting of problematic outputs is described in our AI Transparency / Responsible AI materials when available.
HomeAideas may use Customer names, logos, and selected Outputs in customer lists, presentations, case studies, websites, and marketing materials unless Customer objects in writing or the applicable Order Form says otherwise.
Customer may request deletion of Customer data by contacting support@homeaideas.com. Approved deletion requests will be handled as described in the Privacy Policy, subject to legal, security, backup, billing, audit, fraud-prevention, and dispute-retention requirements.
We use reasonable administrative, technical, and organizational safeguards designed to protect Customer Content and account information. More information about safeguards and vulnerability reporting is described in our Security materials when available.
11. HomeAideas Intellectual Property
HomeAideas and its software, workflows, models, prompts, systems, interfaces, design, documentation, templates, product names, logos, trademarks, and know-how are owned by HomeAideas, its affiliates, or its licensors. Except for the limited right to use HomeAideas during an active subscription, no rights are transferred to Customer.
Customer may provide feedback, suggestions, requests, ideas, or recommendations. We may use that feedback without restriction or compensation, provided we do not disclose Customer confidential information in doing so.
Customer must not remove proprietary notices, copy the service, create derivative products based on HomeAideas, or use HomeAideas to build or train a competing product or service.
12. Third-Party Services
HomeAideas may depend on third-party hosting providers, AI infrastructure, payment providers, email providers, analytics providers, integrations, or other subprocessors. We are not responsible for third-party services outside our reasonable control.
If Customer connects HomeAideas to third-party services or uploads third-party materials, Customer is responsible for complying with the applicable third-party terms and for ensuring that HomeAideas is permitted to process the relevant content.
13. Suspension and Termination
We may suspend access to HomeAideas if Customer fails to pay undisputed fees when due, violates these Terms, creates a security risk, uses the service unlawfully, exceeds applicable usage limits, or if suspension is necessary to protect HomeAideas, other customers, or third parties.
Either party may terminate an order if the other party materially breaches these Terms and fails to cure the breach within a reasonable period after written notice, unless the breach cannot be cured or immediate termination is required by law or security needs.
Upon termination or expiration, Customer must stop using HomeAideas and pay all outstanding fees. Sections concerning fees, confidentiality, intellectual property, Customer Content and Outputs, disclaimers, limitation of liability, indemnification, dispute resolution, and notices will survive termination.
14. Disclaimers
HomeAideas is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties, conditions, and representations, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, and error-free operation.
We do not guarantee that HomeAideas will be uninterrupted, secure, error-free, compatible with all files or workflows, or that Outputs will meet Customer expectations, client expectations, professional standards, or project requirements.
No uptime, support response time, service level, or availability commitment applies unless expressly stated in an Order Form or separate enterprise agreement.
15. Limitation of Liability
To the fullest extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, exemplary, punitive, or lost-profit damages, or for loss of revenue, goodwill, data, business opportunity, anticipated savings, or business interruption, even if advised that such damages are possible.
To the fullest extent permitted by law, HomeAideas' total aggregate liability arising out of or relating to these Terms, any Order Form, or the service will not exceed the fees paid by Customer to HomeAideas for the affected subscription during the three months before the event giving rise to liability.
The limitations in this section do not limit Customer's payment obligations, either party's liability for fraud or willful misconduct, or any liability that cannot be limited under applicable law.
16. Indemnification
Customer will defend, indemnify, and hold harmless HomeAideas, WhatanAidea Solutions FZ LLC, and their officers, directors, employees, contractors, affiliates, and licensors from and against claims, damages, liabilities, losses, costs, and expenses, including reasonable legal fees, arising from Customer Content, Customer's use of Outputs, Customer's breach of these Terms, Customer's violation of law, or Customer's infringement or misappropriation of third-party rights.
HomeAideas will defend Customer against a third-party claim alleging that the HomeAideas software, as provided by us and used according to these Terms, directly infringes that third party's intellectual property rights, and will pay damages finally awarded or settlement amounts approved by us. This obligation does not apply to claims arising from Customer Content, Outputs, third-party services, modifications not made by us, use outside these Terms, or combinations with items not provided by us.
17. Changes to Terms and Service
We may update these Terms from time to time. If changes are material, we will take reasonable steps to notify Customers, such as by email, account notice, or website notice. Updated Terms will apply from the effective date stated in the notice or posted version.
We may modify, improve, remove, or discontinue features of HomeAideas from time to time. We will not materially reduce core paid functionality during an active subscription term without a reasonable business, legal, security, or technical reason.
18. Governing Law and DIFC Courts
These Terms and any dispute or claim arising out of or in connection with them, any Order Form, or HomeAideas are governed by the laws of the United Arab Emirates, without regard to conflict-of-law rules.
Subject to any different dispute clause in a signed Order Form, the parties agree that the courts of the Dubai International Financial Centre have exclusive jurisdiction over any dispute or claim arising out of or in connection with these Terms, any Order Form, or HomeAideas.
19. Notices and Contact
Legal notices to HomeAideas must be sent by email to support@homeaideas.com and, where required by law or an Order Form, by courier or registered post to WhatanAidea Solutions FZ LLC at VUET2932 Compass building, Al Hulaila Industrial Zone-FZ, Al Hulaila, Ras Al Khaimah, UAE.
